Terms of Use

1. Introduction

These Terms of Use govern your access to and use of Adgile’s websites and mobile applications.

Adgile Media Holdings Pte Ltd, together with its affiliated and subsidiary entities (collectively, “Adgile”, “we”, “us” or “our”), provides access to the Websites and Apps subject to these Terms of Use.

 

By accessing or using our Websites or Apps, you agree to be bound by these Terms of Use. If you do not agree, you must not use the Websites or Apps.  You must be at least 18 years of age to use the Websites or Apps.

These Terms of Use apply only to general access and use of the Websites and Apps. If you enter into a subscription, services agreement or other commercial arrangement with Adgile, that agreement will govern your use of the relevant services to the extent of any inconsistency with these Terms of Use.

2. Definitions

In these Terms of Use:

  • Adgile, we, us or our means Adgile Media Holdings Pte Ltd and its affiliated and subsidiary entities, with Adgile Media Pty Ltd (Australia) acting as the primary operator of the Websites and Apps.

  • Apps means Adgile’s mobile applications available on iOS and Android.

  • Websites means adgile.com, adgile.media, adgile.com.au, tvadverts.com.au, and associated subdomains.

  • Content means all materials made available on the Websites or Apps, including text, graphics, data, reports, software and branding.

3. License to Use Websites and Apps

Unless otherwise stated, Adgile owns or licenses all intellectual property rights in the Content.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Websites and Apps for your internal business purposes, subject to these Terms of Use.

You must not, without our prior written consent:

  • reproduce, copy, modify or distribute any Content;

  • republish Content on another website or platform;

  • sell, rent or sub-license Content;

  • scrape, harvest, mine, extract or reuse data, content or outputs;

  • use automated systems or software to access the Websites or Apps; or

  • frame or embed the Websites or Apps within another site.

4. Acceptable Use

You must not use the Websites or Apps:

  • in any unlawful, fraudulent or harmful manner;

  • to interfere with or disrupt systems, servers or networks;

  • to introduce malware, viruses or malicious code; or

  • to access restricted areas without authorisation.

 

4.1 Automated Access and Data Extraction

You must not, without Adgile’s prior written consent, access the Websites or Apps using automated means, or attempt to extract, scrape, harvest, mine, copy or reuse any data, content, analytics or outputs made available through the Websites or Apps, whether for commercial or non-commercial purposes.

This includes attempting to bypass access controls, usage limits, or technical measures designed to protect our systems or content.

 

We reserve the right to restrict or terminate access if we reasonably believe these Terms of Use have been breached.

 

5. Restricted Access and Accounts

Certain areas or features of the Websites or Apps may require credentials.

You are responsible for maintaining the confidentiality of your login details and for all activity that occurs under your account. We may suspend or disable access if we reasonably suspect misuse or unauthorised activity.

6. User Content

If you submit content through the Websites or Apps (including forms, feedback or uploads), you grant Adgile a worldwide, non-exclusive, royalty-free licence to use, reproduce and publish that content for business and operational purposes.

You must ensure that any content you submit:

  • is lawful;

  • does not infringe third-party rights; and

  • is not misleading or harmful.

We reserve the right to remove or moderate user content at our discretion.

7. No Warranties

The Websites, Apps and Content are provided on an “as is” basis.

To the maximum extent permitted by law, Adgile makes no warranties or representations regarding availability, accuracy, completeness or suitability of the Websites, Apps or Content.

Nothing on the Websites or Apps constitutes professional, legal, financial or other advice.

 

8. Limitation of Liability

To the maximum extent permitted by law, Adgile will not be liable for any loss or damage arising from or in connection with your use of the Websites or Apps, including indirect, consequential or business losses.

Nothing in these Terms of Use limits liability that cannot be excluded under applicable law.

 

9. Indemnity

You agree to indemnify and hold Adgile harmless from any claims, losses or damages arising from your breach of these Terms of Use or misuse of the Websites or Apps.

10. Third Party Links

The Websites and Apps may contain links to third-party websites or services. Adgile is not responsible for the content or privacy practices of those third parties.

 

11. Privacy and Cookies

Your use of the Websites and Apps is subject to our Privacy Policy and Cookie & Tracking Technologies Policy, which explain how we collect and use information.

12. Changes to These Terms

We may update these Terms of Use from time to time. The current version will be published on our Websites. Continued use after updates constitutes acceptance of the revised Terms.

 

13. Assignment

Adgile may assign, transfer or otherwise deal with its rights and obligations under these Terms of Use without restriction. You may not assign or transfer your rights or obligations under these Terms of Use without Adgile’s prior written consent.

 

14. Severability

If any provision of these Terms of Use is held to be unlawful or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

15. Governing Law

These Terms of Use are governed by the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland.
